Terms of Service

1. Introduction

Welcome to NexWave International! We are excited to have you here, but before you start using NexWaveGO, we need you to look through and accept these terms. We have done our best to explain it all without too much jargon, so it is clear what we expect from you and what you can expect from us.

These are your legal rights and obligations, so please read everything. If you cannot agree to our terms, then you cannot use our services.

2. Joining and using NexWaveGO

When we say "you" or "your", we mean both you and any entity or firm you are authorised to represent. When we say "NexWave International", "we", "our" or "us", we mean the NexWave International entity you contract with and pay fees to.

Our services consist of the NexWaveGO online project management product and any services we provide now or in the future in connection with it.

Creating a subscription: when you create a subscription to use our services and accept these terms, you become a subscriber. If you are the subscriber, you are the one responsible for paying for your subscription.

People invited to use NexWaveGO: an invited user is a person other than the subscriber who has been invited to use our services through a subscription, including team members, customer contacts and workspace guests. If you are an invited user, you must also accept these terms to use our services.

User roles and access: as a subscriber inviting others into a subscription, you should understand the permissions you are granting to invited users, including the access levels you give customer contacts (Edit, Assigned only, or Read) and Gantt chart visibility. You control who is invited and what kind of access they have, and you can change or stop that access at any time.

The right to use our services: whether you are a subscriber or an invited user, we grant you the right to use our services based on your subscription type, your user role and the level of access you have been granted, for as long as the subscriber continues to pay for the subscription, until the subscription is terminated, or — if you are an invited user — until your access is revoked.

Your responsibilities: you promise to keep your information (including a current email address) up to date. You are responsible for providing true, accurate and complete information and for verifying the accuracy of any information you use from our services for your legal, tax and compliance obligations. You are also responsible for protecting your username and password from theft or misuse. Our service has minimum password standards, but you will ensure passwords are very strong and not easily guessable — the stronger the better.

3. Pricing, trial and billing

Unless you are in a free trial or other offer period, you will need to pay for your subscription based on the pricing of your selected plan. Pricing is per user seat per month, and the details of your subscription are explained when you select your plan.

Trial subscriptions: when you first sign up you receive a 14-day free trial with full access. If you continue using our services after the trial, you will be billed for the plan you select. If you choose not to continue following a trial, you may cancel and delete your workspace.

Subscriber role: as a subscriber, you take responsibility for fully controlling how your subscription is managed and who can access it. You are responsible for all of your invited users' activity, and for resolving any disputes with invited users over access to your subscription.

4. Acceptable use

Whatever your role, when you use NexWaveGO you agree to follow these rules. You must not:

  • use our services for any unlawful purpose or in breach of any law, regulation or third-party right;
  • attempt to gain unauthorised access to any other subscriber's or invited user's data, or probe, scan or test the vulnerability of our systems without our written permission;
  • interfere with or disrupt the integrity or performance of our services, or circumvent any access controls, usage limits or seat restrictions;
  • share your credentials with anyone else or allow more people to use the subscription than the seats you have paid for;
  • upload malicious code, or use our services to store or distribute content that infringes any third party's intellectual property or privacy rights.

We may suspend or terminate access for breaches of these rules, and we may report unlawful activity to the relevant authorities.

5. Your data, security and data breaches

Your data is yours. You retain full ownership of the projects, tasks, customer records, timesheets and all other data you store in NexWaveGO, and you may export it at any time.

We take security seriously and apply industry-standard measures to protect your data, including encryption in transit, access controls, monitoring and strict password standards. However, no online service can guarantee absolute security, and you accept that your data is stored at your own risk.

You acknowledge and agree that your use of the service and storage of your data is at your sole risk. NexWave International is not liable for any loss, corruption, unauthorised access to, or disclosure of your data — including as a result of a data breach — and we will not pay any compensation for such events, even where we have taken every effort to keep your data secure. If a security incident affects your data, we will use reasonable efforts to notify you and to restore service, but our obligation is limited to that mitigation.

You are responsible for your own resilience: keep your own backups and exports of important business data, enforce strong passwords within your team, remove the access of people who leave your organisation, and apply the principle of least privilege when granting customer contacts access to your projects.

6. Service availability

We aim to keep NexWaveGO available around the clock, but we do not guarantee uninterrupted or error-free service. We may perform maintenance, introduce new features or change existing ones, and occasionally the service may be unavailable or degraded. We will use reasonable efforts to give you advance notice of planned downtime.

Scheduled maintenance, reasonable periods of unavailability and brief disruptions do not entitle you to compensation or a refund.

7. What we own

We own everything we have put into our services unless otherwise stated and excluding content owned by others. This includes rights in the design, compilation and look and feel of our services, as well as all copyrighted works, trademarks, designs, inventions and other intellectual property.

You agree not to copy, distribute, modify or make derivative works of any of our content, or use any of our intellectual property rights in any way not expressly permitted by us.

8. Limitation of liability

To the maximum extent permitted by law, NexWave International is not liable to you for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profit, revenue, goodwill, business opportunity, anticipated savings or data — however caused and on any theory of liability.

NexWaveGO is an affordable, low-cost subscription product. The subscription fees you pay are the sole measure of the value of the service to you, and you agree that our pricing reflects this allocation of risk. Accordingly, our total aggregate liability arising out of or relating to these terms or your use of the services — including in connection with data loss or a data breach — is limited to the subscription fees you paid to us in the 12 months preceding the event giving rise to the claim.

We expressly exclude liability for compensation for any data breach or security incident, as set out in the "Your data, security and data breaches" section above. If we cannot limit our liability by law, then our liability is limited to the minimum extent permitted.

9. Termination

You may cancel your subscription at any time from your workspace billing settings. Cancellation takes effect at the end of the current billing period.

We may suspend or terminate your subscription if you materially breach these terms, fail to pay the amounts due, or where we are legally required to do so. On termination, your access to the service ends, and you should export any data you wish to keep before your access lapses.

10. Changes to these terms

We may update these terms from time to time to reflect changes in our services or the law. We will notify subscribers of material changes by email or in-app message before they take effect. Continuing to use our services after the changes take effect means you accept the updated terms; if you do not agree, you may cancel your subscription before the renewal date.

11. Governing law

These terms are governed by the laws of New Zealand, and you and we submit to the non-exclusive jurisdiction of the courts of New Zealand.
